2. Terms of Service

2.1 Scope of Agreement

All digital services, software deliverables, and engineering advisory packages provided by CodeVeyronix are governed by explicitly contracted Statements of Work (SOW) executed between the Client and CodeVeyronix. These Terms of Service apply to all website interactions, project consultations, and service engagements.

2.2 Intellectual Property

Upon complete settlement of all agreed commercial invoices, CodeVeyronix assigns all worldwide intellectual property rights in the client-specific software deliverables, source code, design tokens, and digital assets directly to the Client. Pre-existing frameworks, libraries, and tools used in development remain the property of their respective owners and are licensed to the Client for the duration of the engagement.

2.3 Payment Terms

Unless otherwise specified in the Statement of Work, invoices are payable within 14 calendar days of issuance. Late payments incur a statutory interest rate of 8% per annum plus an additional compensation fee as permitted under Swedish Late Payment Directive implementation. CodeVeyronix reserves the right to suspend work on outstanding invoices.

2.4 Project Delivery & Timelines

Estimated delivery timelines are provided in good faith based on scope analysis. Timelines may be adjusted due to scope changes, third-party delays, or force majeure events. CodeVeyronix communicates timeline adjustments promptly and in writing.

2.5 Limitation of Liability

CodeVeyronix's total aggregate liability under any engagement shall not exceed the total fees paid by the Client for the specific service giving rise to the claim. CodeVeyronix shall not be liable for indirect, incidental, consequential, or punitive damages, including lost profits, data loss, or business interruption.

2.6 Confidentiality

Both parties agree to maintain the confidentiality of proprietary information exchanged during the engagement. This obligation survives termination of the agreement for a period of 3 years, unless a longer period is specified in the SOW.

2.7 Termination

Either party may terminate the engagement with 14 calendar days written notice. Upon termination, the Client is liable for all work completed up to the termination date. Work products delivered prior to termination are subject to the intellectual property transfer provisions upon full payment.
